Speaking to Bild , Zorc said: "He [Kagawa] is one of our key players and we are determined to keep him. The offer is now up to him."
Kagawa, 23, arrived in Germany in 2010 from Cerezo Osaka and has made a big impact at the Westfalonstadion in his two seasons to date.
With the Japan star linked to a host of top European clubs, Dortmund have moved to tie down their asset whose current deal expires in June 2013.
Talks had started late last year, but quickly broke down, with the club now returning to the table to secure a renewed deal or risk losing their star on a free transfer next summer.
